Summary
These Terms constitute a legally binding electronic contract between you ("Subscriber") and Oronzo LLP ("Oronzo", "we") under the Indian Contract Act, 1872 and Information Technology Act, 2000.
1. About Oronzo LLP
Oronzo LLP is a Limited Liability Partnership registered in India, operating the Curex24 Clinic platform — a SaaS-based clinic operations management system designed for Indian outpatient clinics. Our registered email is hello@oronzo.io.
2. Definitions
- "Platform" means the Curex24 Clinic web application, APIs, mobile apps, and any related services.
- "Subscriber" means any clinic, healthcare provider, or entity that registers for or uses the Platform.
- "Staff User" means any employee or practitioner added by a Subscriber to use the Platform.
- "Patient Data" means all personal or health data of patients entered into the Platform by Subscriber.
- "Subscription Plan" means the paid or trial plan selected by the Subscriber.
3. Eligibility & Account
You must be at least 18 years of age and legally authorized to enter contracts in India. Clinic registration must be done by the authorised representative of the healthcare entity. You are responsible for keeping your credentials confidential and for all activity under your account.
We reserve the right to verify credentials and reject or suspend accounts that provide false information.
4. Description of Services
Curex24 Clinic provides a multi-tenant clinic operations platform including (but not limited to):
- Patient registration, appointments, and queue management
- Digital prescriptions (voice-to-text, PDF generation, pharmacy handoff)
- Patient vitals, consultation notes, and clinical records
- Diagnostic lab ordering and report management
- Billing, invoicing, and payment tracking (Razorpay, UPI, cash)
- WhatsApp reminders, CRM leads, follow-ups, and lifecycle management
- Staff training and role-based access control (RBAC)
- Super Admin portal for platform administrators
Services are provided "as-is" for outpatient (OPD) use only. The Platform is not an emergency medical system and must not be used as a substitute for emergency care.
5. Subscriptions & Plans
Access to the Platform requires an active Subscription Plan. Plans may be billed monthly or annually. Pricing, plan features, and billing cycles are described on the pricing page and are subject to change with 30 days' notice.
Trial periods (if offered) are for evaluation only. At the end of the trial, a paid subscription is required to continue access.
6. User Obligations
- Use the Platform only for lawful clinical and administrative purposes.
- Not share login credentials across multiple clinics or entities without separate subscriptions.
- Obtain valid patient consent before storing patient health data on the Platform.
- Not attempt to reverse-engineer, scrape, or exploit the Platform or its APIs.
- Not upload malware, offensive content, or data that violates third-party rights.
- Comply with all applicable laws including the DPDP Act 2023, IT Act 2000, and the Clinical Establishments Act.
7. Data Ownership & Access
You (the Subscriber) own all Patient Data and clinical records you enter into the Platform. We process this data solely as a Data Processor on your behalf. We will not sell, share, or use Patient Data for any purpose other than operating the Platform.
Upon account termination, you may request a data export within 30 days. After 30 days, data may be permanently deleted per our retention policy.
8. Privacy
Our processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Fees, Taxes & Billing
All fees are in Indian Rupees (INR) and are exclusive of GST unless stated otherwise. GST at 18% (SAC 998314 — IT/SaaS services) will be added to all invoices.
For billing disputes, contact hello@oronzo.io within 7 days of the invoice date.
10. Intellectual Property
All software, code, UI designs, product names, trademarks, and content on the Platform are the exclusive property of Oronzo LLP and its licensors. You grant us a non-exclusive licence to host and process your data solely to provide the Services.
11. Third-Party Services
The Platform integrates with Razorpay (payments), Supabase (database), Twilio / WhatsApp Cloud API (messaging), and Cloudflare R2 (file storage). We are not liable for failures, outages, or data breaches caused by third-party providers.
12. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.
THE PLATFORM IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL ADVICE. CLINICAL DECISIONS REMAIN SOLELY THE RESPONSIBILITY OF THE QUALIFIED HEALTHCARE PROVIDER.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
14. Termination & Suspension
Either party may terminate with 30 days' written notice. We may immediately suspend or terminate access if you breach these Terms, fail to pay, or engage in fraudulent or illegal activity.

16. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.
17. Changes to these Terms
Material changes will be notified by email or in-app notification at least 15 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
